Terms and Conditions of Sale and Service
Prolift Crane & Hoist Inc.
- Taxes
All applicable federal, provincial, and local taxes are additional and shall be paid by the customer unless otherwise stated in writing. - Payment Terms
a. Standard payment terms for service calls are Net 30 days from the date of invoice, unless alternative arrangements have been made and approved in writing by Prolift Crane & Hoist Inc.’s accounting department during the account setup process.
b. For modernization or retrofit projects quoted at or above $50,000.00, payment terms shall be 30% due upon acceptance, and the remaining 70% due Net 30 days from completion.
c. For new equipment sales under $15,000.00 the standard payment terms are Net 30 days. For amounts exceeding $15,000.00 up to $250,000.00 standard payment terms are 25% down due upon receipt, 50% prior to shipment due upon receipt, and 25% balance Net 30 days after completion. For amounts exceeding $250,000.00 special payment terms will be agreed upon.
d. The foregoing payment terms are subject to a satisfactory credit review. See Section 3.
e. Any supplier-imposed price increases arising due to payment delays by the customer shall be borne solely by the customer. - Credit Approval
All payment terms and credit facilities are subject to the customer’s successful completion of a credit check. Prolift reserves the right to alter or revoke payment terms based on credit findings. - Tariffs
Unless explicitly stated in your quotation, order, or contract, all tariffs, duties, and government-imposed charges applicable to products sold by Prolift shall be charged to and payable by the customer. - Quotation Validity
Quotations are valid for a period of 30 calendar days from the date of issue, unless otherwise specified in the quotation, service order, or contractual agreement. - Purchase Orders
A valid customer-issued purchase order is required to initiate any quoted work. - Price Adjustments Due to Material Costs
Quoted prices are based on material and labor costs in effect at the time of proposal issuance. If, between contract execution and project completion, significant increases (defined as increases exceeding 2%) in material or construction costs are incurred, Prolift reserves the right to adjust the contract price accordingly.
Labor costs are based on project completion within the same calendar year as the proposal, unless otherwise agreed to in writing. - Service Execution and Site Access
All service work shall be conducted by non-union personnel of Prolift Crane & Hoist Inc. during regular business hours (Monday to Friday, 7:00 AM to 3:30 PM), with free and unobstructed access to the work area and equipment.
Premium rates, including overtime and double-time charges, may apply for work beyond regular hours and will be invoiced only with the customer’s prior written approval.
After eight (8) consecutive hours of work in a single day, premium labor rates shall apply. - Additional Parts and Labor
During equipment teardown or service, unforeseen issues may arise requiring additional parts and labor. Prolift will issue a revised quote for approval prior to proceeding with such repairs. - Progress Billing
Prolift Crane & Hoist Inc. reserves the right to issue progress invoices for any work delayed by the customer for more than thirty (30) days, unless a written exemption is granted by a senior Prolift representative. - Delays and Force Majeure
Prolift shall not be held liable for any delays caused by circumstances beyond its reasonable control, including but not limited to supply chain disruptions, labor disputes, inclement weather, or regulatory approvals. Any such delays may result in additional costs, which shall be borne by the customer. - Permits and Drawings
The customer shall be solely responsible for obtaining all necessary permits and related permit applications, unless otherwise agreed upon in writing. - Pre-Start Health & Safety Reviews (PSHRs)
PSHRs are not included in the quoted prices unless explicitly stated in writing on the applicable quotation, order, or contract. - Limitation of Liability
Prolift Crane & Hoist Inc. shall not be liable to the purchaser, end-user, or any third party for any indirect, incidental, special, liquidated, or consequential damages, including but not limited to loss of use, loss of profits, or business interruption, arising from or relating to the goods or services provided. - Warranty Terms
a. Warranty coverage for newly supplied parts is limited to the terms provided by the original equipment manufacturer or supplier.
b. Prolift’s warranty includes labor but excludes any rental equipment required for servicing or installation. - Acceptance of Terms
By accepting this quotation or placing an order, the customer agrees to be bound exclusively by the terms and conditions stated herein and in any attached documentation or instructions issued by Prolift Crane & Hoist Inc. Any conflicting or additional terms presented in the customer’s purchase order or correspondence shall be null and void unless explicitly agreed upon in writing by Prolift.
